My opinion is, if you have to ask these questions in this country, you should not be opening a business here. Sorry man.
This is a very, very difficult country to run businesses in with a huge amount of bureaucracy and relationships involved in starting up. You will need to find a reliable local partner (which is sometimes the hardest part) and some very honest and detailed local knowledge and advice.
Vast majority of small businesses here owned and run by expats fall under the pressures of TIV (This Is Vietnam) and struggle to survive. Very few make it and the ones that do have both local knowledge and luck on their side.
I wish you the best, but if it was my money, I'd park it elsewhere.

I am an expat business owner in HN and would have to agree with vinaman on some points, but it can be done. I was granted an investment licence and it has taken one Vietnamese staff member 4 months full-time to complete all of the post-licence bureaucracy. There are a few other quirks along the way, but with persistence a good business is possible. My only question for sean is the market place for another pool bar, seem to be a lot available already?
